Why invest in startups?
Regulation CF allows investors to invest in startups and early-growth companies. This is different from helping a company raise money on Kickstarter; with Regulation CF Offerings, you aren’t buying products or merchandise - you are buying a piece of a company and helping it grow.
How much can I invest?
Accredited investors can invest as much as they want. But if you are NOT an accredited investor, your investment limit depends on either your annual income or net worth, whichever is greater. If the number is less than $124,000, you can only invest 5% of it. If both are greater than $124,000 then your investment limit is 10%.
How do I calculate my net worth?
To calculate your net worth, just add up all of your assets and subtract all of your liabilities (excluding the value of the person’s primary residence). The resulting sum is your net worth.
What are the tax implications of an equity crowdfunding investment?
We cannot give tax advice, and we encourage you to talk with your accountant or tax advisor before making an investment.

What do I need to know about early-stage investing? Are these investments risky?
There will always be some risk involved when investing in a startup or small business. And the earlier you get in the more risk that is usually present. If a young company goes out of business, your ownership interest could lose all value. You may have limited voting power to direct the company due to dilution over time. You may also have to wait about five to seven years (if ever) for an exit via acquisition, IPO, etc. Because early-stage companies are still in the process of perfecting their products, services, and business model, nothing is guaranteed. That’s why startups should only be part of a more balanced, overall investment portfolio.
When will I get my investment back?
The Membership Units (the "Shares") of Geoship S.P.C. (the "Company") are not publicly-traded. As a result, the shares cannot be easily traded or sold. As an investor in a private company, you typically look to receive a return on your investment under the following scenarios: The Company gets acquired by another company. The Company goes public (makes an initial public offering). In those instances, you receive your pro-rata share of the distributions that occur, in the case of acquisition, or you can sell your shares on an exchange. These are both considered long-term exits, taking approximately 5–10 years (and often longer) to see the possibility for an exit. It can sometimes take years to build companies. Sometimes there will not be any return, as a result of business failure.
Can I sell my shares?
Shares sold via Regulation Crowdfunding offerings have a one-year lockup period before those shares can be sold under certain conditions.
Exceptions to limitations on selling shares during the one-year lockup period:
In the event of death, divorce, or similar circumstance, shares can be transferred to:
• The company that issued the securities;

What happens if a company does not reach their funding target?
If a company does not reach their minimum funding target, all funds will be returned to the investors after the close of the offering.

What if I change my mind about investing?
You can cancel your investment at any time, for any reason, until 48 hours prior to a closing occurring. If you’ve already funded your investment and your funds are in escrow, your funds will be promptly refunded to you upon cancellation. How do I keep up with how the company is doing?
At a minimum, the company will be filing with the SEC and posting on its website an annual report, along with certified financial statements. Those should be available 120 days after the fiscal year end. If the company meets a reporting exception, or eventually has to file more reported information to the SEC, the reporting described above may end. If these reports end, you may not continually have current financial information about the company.
What relationship does the company have with DealMaker Securities?
Once an offering ends, the company may continue its relationship with DealMaker Securities for additional offerings in the future. DealMaker Securities’ affiliates may also provide ongoing services to the company. There is no guarantee any services will continue after the offering ends.
What kind of shares are you issuing?
This offering consists of SAFEs, which are convertible instruments that will automatically convert into the same class of shares issued in our next qualified priced round (typically Series Seed or Series A Preferred Stock, or possibly Common Stock depending on the structure of that round).
How will I get a return on my investment?
You are investing in a pre-revenue company. Success will be measured in progress towards revenue. Future liquidation events could include acquisition or an IPO.
Investing in startups is risky and there is no guarantee you will get a return on your investment. However, an exit opens up the opportunity where you could convert your shares into cash or a more liquid asset. Exits include going public, getting acquired by a larger company, or our company buying back shares. If the value of our company grows, then you have a higher potential of making a profit on your investment during one of these exits.
When will I receive my shares?
Shares will be rewarded after the investment funds clear. This typically takes around 3 weeks after investment. Your investment can be managed through your Dealmaker investment account.

Can Geoship domes be integrated with solar panels and battery storage?
Yes! We are contracting local installers for ground-mounted solar arrays where required. We’re developing integrated solar panels and battery storage for future upgrades, ensuring you can add these without sacrificing initial usability.
Can Geoship domes withstand temperature extremes, including very cold climates?
Yes. Geoship domes are engineered to thrive in any climate, from icy Alaska to scorching deserts. With exceptional insulation (R-30 minimum) and near-zero air leakage, they keep you warm and energy-efficient even in the harshest winters. The uniform bioceramic structure expands and contracts as one, preventing cracks or leaks from temperature swings. Paired with an integrated HVAC system (ducted mini-split and ERV), your dome stays cozy in winter, cool in summer, and energy-efficient year-round. Additionally, the quick assembly process allows building during short weather windows, ensuring your home is ready when you are.

The geodesic dome shape naturally deflects high winds and evenly distributes loads, making it highly resistant to structural failure during storms or seismic events. Built for a wide range of climates, including cold, desert, and tropical environments, the domes can handle heavy snow loads and seismic activity with ease.
The bioceramic shell is non-combustible, providing superior fire protection, while the seamless, inorganic surface resists water damage and mold in flood-prone areas. Can I buy the bioceramic material by itself?
Currently, we don't offer our bioceramic material separately. It's a product we've developed and are continuously refining specifically for our domes.
Can I connect multiple domes together?
Absolutely! Our designs make it possible to connect multiple domes, creating endless possibilities for unique configurations and dome constellations. While this feature is not available yet, we’re actively working on it and plan to go to market with a set catalog of configurations to start, with more options to follow based on demand.

Yes, the walls can be painted and are strong enough to hold screws. We also offer integral color options in a range of earth tones. Additionally, we’re exploring over-molding techniques to incorporate wood textures, patterns, or other unique finishes!
How are electrical and plumbing routed within the structure?
Just like in a standard home, electrical and plumbing in our geodesic domes are routed through the walls and interstitial floor (or loft floor). This setup keeps utilities streamlined and accessible while preserving the dome's efficient and adaptable structure.
How are the domes sealed and are they waterproof?
The domes are sealed with bioceramic, an inorganic polymer that forms waterproof joints and has minimal thermal expansion, providing excellent protection against the elements.
How can light levels and privacy be managed effectively through the windows?
Our domes offer both smart tint and mechanical blind options for adaptable light and privacy control. While they won’t last the dome’s full 500-year life, these systems are built for durability—around 20 years, with advancements likely extending that significantly in the future. This flexibility, paired with our dome's natural insulation and bioceramic materials, ensures a private, energy-efficient space that harmonizes beautifully with nature.
How customizable are the interiors and exteriors?

How well do Geoship dome homes block outside noise (like airplanes or highway traffic), and what is the impact of the hard bioceramic panels on interior sound and echo?
Acoustic performance is a key focus in our dome design. The unique geodesic shape naturally deflects external sounds—much like wind, noise flows around it—creating a quiet, insulated environment. To further enhance interior acoustics, we use cellular ceramic panels, acoustic absorbers, and a distinctive 3D faceting on the panels. This combination minimizes echoes and fosters a calm, balanced sound environment. While the dome’s shape may reflect sound near the peak, our thoughtful insulation and design effectively keep echoes in check.
Is there a washer/dryer and laundry space?
Yes, a dedicated laundry space with hookups is ready for you.
What are the heating, cooling, and dehumidification options?
We provide a single, high-performance system: a ducted mini-split for heating and cooling, an Energy Recovery Ventilator (ERV) with MERV 13 filters (upgradable to HEPA), and a heat pump water heater. This ensures top indoor air quality (IAQ) with pre-conditioned fresh air, avoiding CO buildup in our well-sealed domes.
What are the options for windows, doors, and skylights?
Geoship domes come standard with high-performance windows and doors designed to integrate seamlessly with the geodesic shell—offering durability, energy efficiency, and beauty. Skylights are currently in development and will be available as add-ons in the near future. As we scale, more customizable options for sizes, styles, and placements of windows, doors, and skylights will be introduced based on customer feedback and regional requirements.
What do the domes come equipped with?
Depending on your final order choices, you can opt for an open floor plan or a fully integrated home solution. Our fully integrated options include everything from windows and doors to appliances and finishes, all designed for optimal beauty and performance.
What does "Bioceramic" mean?

Am I reserving a specific dome model when I place a reservation?

Are there financing or payment options available for Geoship domes?
Geoship domes qualify for standard real estate financing as true homes. While we do not currently offer financing directly, customers can obtain a residential construction loan from a mortgage lender of their choice.

However, additional time may be required for site preparation and foundation, depending on the location. Permitting and site prep timelines can vary, but we prioritize both speed and quality to ensure your dome is ready as efficiently as possible.
How does the permitting process work?
The Geoship Amma is currently being approved through the FBH (Factory-Built Housing) process, which allows it to be installed throughout California. This state-level process covers all above-ground elements of the home, simplifying the overall permitting process. However, local authorities still need to review and approve the foundation, utility routing, and connections to ensure they meet specific site requirements. Geoship handles the FBH approval, but customers will need to work with local authorities to secure permits for the foundation and utilities. Keep in mind that site conditions can significantly affect installation costs. Over time, Geoship aims to streamline the integration with the ground, making local approvals quicker and easier.
If I'm a developer, how can I check if I can build a Geoship dome on a particular piece of land?
The best first step is to contact your local building department for information on zoning and building codes for your specific parcel of land. Is there a cost for assembly and installation?

Accredited investors can invest as much as they want. But if you are NOT an accredited investor, your investment limit depends on either your annual income or net worth, whichever is greater. There will always be some risk involved when investing in a startup or small business. And the earlier you get in the more risk that is usually present. If a young company goes out of business, your ownership interest could lose all value. You may have limited voting power to direct the company due to dilution over time. You may also have to wait about five to seven years (if ever) for an exit via acquisition, IPO, etc. Because early-stage companies are still in the process of perfecting their products, services, and business model, nothing is guaranteed. That’s why startups should only be part of a more balanced, overall investment portfolio.
When will I get my investment back?
The Common Stock (the "Shares") of [private issuer name] (the "Company") are not publicly-traded. As a result, the shares cannot be easily traded or sold. As an investor in a private company, you typically look to receive a return on your investment under the following scenarios: The Company gets acquired by another company. The Company goes public (makes an initial public offering).
